Terms of Use Agreement

This Terms of Use Agreement (the “Agreement”) is a legally binding contract between Razum Design, a company organized under the laws of [Your Jurisdiction] ("Razum Design," "we," "us," or "our"), and you, whether as an individual or on behalf of an entity ("Client"), governing your access and use of Razum Design's website at https://www.razum.io (the "Website") and any other media forms, channels, mobile websites, or mobile applications related to, linked to, or otherwise connected to it. By accessing or using the Website, you agree to comply with all the terms, conditions, and obligations outlined in this Agreement. Failure to agree to or adhere to these terms will result in the prohibition of your use of the Website, and you must immediately cease using the Website. The relationship between Client and Razum Design will terminate in its entirety, except for any outstanding payment obligations owed by Client to Razum Design.

1. Intellectual Property Rights

Unless expressly indicated otherwise, the Website is the sole property of Razum Design, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics of any nature, regardless of format (collectively, the "Content"), and the trademarks, service marks, and logos contained therein (the "Marks"), are owned and controlled by Razum Design. All Content and Marks are protected by copyright and trademark laws, as well as any other applicable intellectual property laws or regulations of [Your Jurisdiction], international conventions, and foreign jurisdictions. The Content and Marks are provided "As-Is" for your information and personal use only. No part of the Website, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without the express prior written permission of Razum Design. All rights in the Website, Content, and Marks are reserved by Razum Design.

2. Ownership of Materials

Notwithstanding Razum Design's ownership of Submissions, as described in Paragraph 6 ("User Feedback"), all design and original source files created on behalf of Client ("Projects") belong to Client. Client is the sole owner of the copyright for all Projects. In the event that any legal operation would cause Razum Design to become the owner of a Project, either in whole or in part, Razum Design irrevocably and perpetually assigns its entire interest in the Project to Client without limitations. Client warrants that any and all materials provided to Razum Design as examples or for incorporation into a project during the design process are owned by Client and do not infringe or misappropriate any third party's rights, including but not limited to all intellectual property rights and any right of publicity. Razum Design reserves the right to share the Client's design work publicly (e.g., on social media, the website) unless otherwise agreed upon, as stated in Section 18 of this Agreement.

3. Third-Party Fonts

In the event that any Project incorporates fonts not owned by Razum Design and requires a commercial license for legal reproduction, distribution, or public display of the Project ("Third-Party Font(s)"), Razum Design will notify Client in writing that one or more Third-Party Fonts have been incorporated into the Project. Client will be responsible for purchasing the necessary licenses from the rights holder(s) of the Third-Party Fonts to legally reproduce, distribute, or publicly display the Project. This notice will include information to help Client identify the required licenses and contact the rights holders. If Razum Design has informed Client about the incorporation of Third-Party Fonts, Client assumes all responsibility for any consequences resulting from failure to purchase the necessary licenses for such fonts incorporated into a Project.

4. User Representations

By using the Website, Client represents and warrants that:

• Client has the legal capacity and agrees to comply with these Terms of Use.
• Client is not a minor in the jurisdiction of their domicile.
• Client will not access the Website through automated or non-human means.
• Client will not use the Website for any illegal or unauthorized purpose.
• Client's use of the Website will not violate any applicable law or regulation.

5. Prohibited Activities

Client shall not access or use the Website for any purpose other than the intended purposes for which the Website is made available. The Website may not be used for commercial purposes other than those related to the services provided by Razum Design to the Client.
